CreateX Terms of Service

These Terms of Service (the "Terms") are the agreement between you and CreateX AI (衍界人工智能科技, "we", "us") governing your use of CreateX (app.createx-ai.hk, the "Service").
The Service is provided to business customers. Any service agreement or order signed separately between a customer and us (the "Commercial Agreement") together with these Terms forms the entire agreement; where they conflict, the Commercial Agreement prevails. Employees using accounts provisioned by their organization are also bound by these Terms.
By using the Service you agree to these Terms. If you accept them on behalf of an organization, you represent that you are authorized to do so.
01The Service
The Service is an AI workplace platform for organizations, including chat and AI assistants, tasks and schedules, meetings (with recording, transcription and minutes), files, reports, org insights, automations, mailbox integration and an admin console. The features, seats and credits actually enabled are set out in the Commercial Agreement.
We may add, change or retire features from time to time. For material changes we give advance notice through the Service or your administrator.
02Accounts and administration
- The customer's administrators provision the tenant, enter the org structure and create employee accounts; administrators are responsible for the permissions they configure.
- Keep your login credentials safe and do not share accounts. Losses caused by poorly protected credentials are borne by the account owner; notify us immediately if you discover unauthorized use.
- The customer may disable or delete employee accounts at any time; a disabled account cannot log in and its sessions end immediately.
03Acceptable use
When using the Service you must not:
- violate applicable law, or infringe the intellectual property, privacy or other rights of others;
- upload, generate or distribute unlawful, infringing, malicious or fraudulent content;
- access other users' accounts, other customers' data, or the Service's systems and networks without authorization;
- reverse-engineer, scrape, load-test or otherwise interfere with the normal operation of the Service;
- use AI features to produce content intended to deceive, harass or mislead, or rely on AI output for automated decisions without human review;
- resell, rent or use the Service to provide services to third parties, unless the Commercial Agreement allows it.
04Nature of AI features and human confirmation
AI assistants and digital employees in the Service generate content with large language models. Such content (including replies, meeting minutes, task drafts and report drafts) may be inaccurate, incomplete or contain errors, and is by nature a draft or suggestion.
The Service is designed so that every action that writes, sends, edits or cancels business data runs only after a user confirms it. You should review AI-generated content before confirming, and you are responsible for confirmed actions and their results.
AI-generated content does not constitute legal, financial, medical or other professional advice.
05Third-party integrations
With your authorization the Service can integrate with third-party platforms, including Zoom, Tencent Meeting, company mail services and customer-built MCP tools. Your use of those platforms is also subject to their own terms; we are not responsible for their availability, changes or conduct.
You may revoke authorization for an integration at any time, after which the related features stop working. How third-party data is handled is described in our Privacy Policy.
06Fees and billing
- The Service uses prepaid credits: after the customer tops up, AI features deduct credits according to actual usage, and usage and the ledger are visible in the billing center in real time.
- Pricing, top-up methods, invoicing and refund rules are as agreed in the Commercial Agreement or order.
- When the credit balance is insufficient, AI features pause until a top-up completes; non-AI features are unaffected.
07Data and intellectual property
- Data created or uploaded in the Service by the customer and its employees ("Customer Data") belongs to the customer. We process Customer Data only to provide the Service; we do not use it to train or improve models and do not sell it to third parties.
- The Service, its software, interfaces, trademarks and documentation are our intellectual property. You receive a non-exclusive, non-transferable license to use the Service during the service term.
- To the extent permitted by applicable law, we claim no rights in AI-generated content; the customer uses it under its own internal rules.
- The handling of personal information is described in the Privacy Policy, which forms part of these Terms.
08Availability and support
- We work to keep the Service continuously available but do not guarantee uninterrupted or error-free operation. Planned maintenance is announced in advance.
- We provide email support; service hours and response commitments are published on the Support page, and the Commercial Agreement may provide a higher support tier.
- We back up data daily, but the customer should keep its own copies of critical data.
09Term and termination
- The service term is set by the Commercial Agreement, which also governs how the customer may terminate.
- If you materially breach these Terms, or where the law requires, we may suspend or terminate the affected accounts or the Service, with reasonable advance notice where practicable.
- After termination the customer may export its data within 30 days; we then delete Customer Data, except where retention is required by law.
10Disclaimer and limitation of liability
To the maximum extent permitted by applicable law: the Service is provided "as is" without warranties of any kind, express or implied; we are not liable for indirect losses, lost profits or loss of data arising from use of or inability to use the Service, errors in AI-generated content, or problems with third-party platforms.
Our aggregate liability to a customer is limited to the fees that customer paid us in the twelve months before the event giving rise to the claim, unless the Commercial Agreement provides otherwise.
11Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties will first try to resolve any dispute amicably; failing that, disputes are submitted to the courts of Hong Kong with jurisdiction, unless the Commercial Agreement provides otherwise.
12Changes to these Terms
We may update these Terms from time to time. Material changes are announced in advance through the Service or your administrator, and the effective date at the top is updated; continued use of the Service means you accept the updated Terms.
